By accessing or using Clozio ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Clozio.
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
To access certain features of the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You may create and manage multiple workspaces within your account, each representing a separate organizational context. You are responsible for all actions taken within your workspaces and for ensuring that all users with access to your workspaces comply with these Terms.
The Service is offered on a subscription basis with various pricing tiers. Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are non-refundable except as required by law or as explicitly stated in your subscription plan. You authorize us to charge your payment method for all fees associated with your subscription. If payment fails, we may suspend or terminate your access to the Service. Prices are subject to change with 30 days' notice. You may cancel your subscription at any time, but you will continue to have access until the end of your current billing period.
The Service operates on a credit-based system. AI credits are consumed when you use AI-powered features such as enrichment, personalization, and content generation. Credits are allocated based on your subscription plan and may be purchased separately if needed. Unused credits do not roll over between billing periods unless explicitly stated in your plan. Credits have no cash value and cannot be transferred or refunded. We reserve the right to modify credit allocation and pricing with reasonable notice.
You are responsible for all content you upload, process, or transmit through the Service, including lead data, email content, and personalization templates. You agree to use the Service only for lawful purposes and in accordance with these Terms. You must comply with all applicable laws, regulations, and industry standards, including but not limited to data protection laws (such as GDPR and CCPA), anti-spam laws (such as CAN-SPAM Act), and intellectual property laws.
You may not: (a) use the Service to send unsolicited commercial emails (spam) or violate any anti-spam laws; (b) upload, process, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; (c) attempt to gain unauthorized access to the Service or any related systems or networks; (d) interfere with or disrupt the Service or servers connected to the Service; (e) use automated systems to access the Service without authorization; (f) reverse engineer, decompile, or disassemble any part of the Service; (g) use the Service to compete with Clozio or to build a competing service; (h) share your account credentials with unauthorized parties; or (i) use the Service in any manner that could damage, disable, or impair the Service or interfere with any other party's use of the Service.
The Service, including all software, designs, text, graphics, logos, and other content, is owned by Clozio or its licensors and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you upload to the Service, but you grant Clozio a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely for the purpose of providing the Service. You represent and warrant that you have all necessary rights to grant this license and that your content does not infringe any third-party rights.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOZIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Clozio, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) your infringement of any third-party rights; or (e) any content you upload, process, or transmit through the Service.
These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction].

We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including but not limited to your breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting support or through your account settings. Upon termination, we may delete your account and data in accordance with our Privacy Policy.
